Acquisition of shares of semiconductor wafer trading company Electronics and Materials Corporation Limited

On March 26, 2025, Kanematsu Corporation (hereinafter “Kanematsu”) concluded a share transfer agreement whereby it will acquire all outstanding shares in Electronics and Materials Corporation Limited (hereinafter “E&M”).

E&M is a trading company that primarily deals in key semiconductor materials such as silicon wafers and compound wafers, with a core strength in the distribution of its proprietary branded test wafers. In addition, the company offers reliable product design and proposal services catered to diverse needs, leveraging the expertise and extensive procurement network it has cultivated for over 40 years since its founding.

In the semiconductor field, Kanematsu engages in the sales of manufacturing and testing equipment for front-end and back-end processes, as well as the provision of maintenance services and sales of packaging materials. With the conclusion of the share transfer agreement, the wafer business, which is an upstream segment of the semiconductor supply chain, will be added to our operations. This will not only lead to business domain expansion, but will also enable us to provide an even more diversified array of solutions through synergy with the Kanematsu Group. Integrating E&M’s accumulated expertise with Kanematsu’s global network, we will also create a wide range of new businesses by sourcing semiconductor-related materials and promising next-generation materials.

“Expansion of Value Proposition” is one of the key initiatives in Kanematsu’s medium-term management plan, integration 1.0. We will continue to pursue aggressive business expansion and the creation of added value in our areas of strength.
